Agreement
These Terms and Conditions (“Terms”) are between VG Northern Technologies, LLC (“Developer”), located at 221 Main Street, Unit 4356, Nashua, NH 03060, and each individual who accesses or uses the 162-0 website or mobile application (“User”).
These Terms govern the User’s use of the 162-0 mobile application and 162baseball.com website (collectively, the “Product” or “Service”). The Product is owned and operated by VG Northern Technologies, LLC.
1. Intellectual Property Rights
(a) Except for third-party content, open-licensed data, and other materials identified separately, the Product and its source code, functionality, proprietary databases, software, designs, graphics, text, trademarks, logos, and other original materials (“Content”) are owned by or licensed to the Developer and are protected by applicable intellectual property laws.
(b) Unless otherwise permitted by these Terms or an applicable third-party license, the Content may not be reproduced, copied, distributed, sold, commercially exploited, or otherwise used without the Developer’s prior written permission.
(c) The Developer grants the User a limited, non-exclusive, non-transferable, revocable license to access and use the Product for its intended personal use.
(d) Third-Party Baseball Data. Certain historical baseball statistics and related data used by 162-0 are derived from the Lahman Baseball Database, created by Sean Lahman and maintained by the Society for American Baseball Research (“SABR”). The Lahman Baseball Database is licensed under the Creative Commons Attribution-ShareAlike 3.0 Unported License (CC BY-SA 3.0). Certain data may be normalized, calculated, reformatted, or otherwise modified for use within 162-0. The Lahman Baseball Database and data derived from it remain subject to the applicable CC BY-SA 3.0 license and are not proprietary to VG Northern Technologies, LLC. Notwithstanding Section 1(b), the restrictions on reproduction, distribution, and commercial exploitation of Content do not apply to the Lahman-derived statistical data described in this subsection, which remains available to Users under the CC BY-SA 3.0 license referenced above. The Developer sources this data from the official SABR Lahman Baseball Database release, and 162-0 does not use the Negro Leagues data licensed from Seamheads.com that is included in that release; no data from that source is part of the 162-0 dataset. Attribution to Sean Lahman and SABR is provided in this Section 1(d) and on an in-app Data Sources and Licenses page.

Nothing in these Terms limits rights that a User may have under an applicable open-data or third-party license.
(e) Statistical Source for Game Results. For purposes of determining scores, simulations, records, rankings, achievements, and other results within 162-0, the statistical dataset, calculations, and methodology implemented by 162-0 will control. The Developer may correct statistical, computational, data-processing, or other errors when identified.
(f) No MLB Affiliation. 162-0 and VG Northern Technologies, LLC are independent and are not affiliated with, sponsored by, endorsed by, or officially connected with Major League Baseball, MLB Advanced Media, the Major League Baseball Players Association, any Major League Baseball club, or their respective affiliates. Third-party names and marks remain the property of their respective owners.
2. Limitation of Liability
(a) To the maximum extent permitted by applicable law, the Developer is not responsible for loss of data, interruption of service, interference with the User’s activities, or incidental or consequential damages arising from use of the Product.
(b) To the maximum extent permitted by law, the Developer is not liable for any direct or indirect loss, damage, expense, or claim arising from the User’s use, misuse, or inability to use the Product or Content.
(c) The Product and Content are provided for entertainment and general informational purposes and may be changed, corrected, updated, or discontinued.
(d) The User acknowledges that statistical data, calculations, simulations, scoring systems, software, and other Content may contain errors, inaccuracies, delays, or omissions.
(e) Use of the Product is at the User’s own risk.
(f) The Developer does not guarantee the accuracy, completeness, reliability, availability, merchantability, fitness for a particular purpose, or uninterrupted operation of the Product or Content.
(g) All warranties, representations, and conditions not expressly stated in these Terms are excluded to the maximum extent permitted by applicable law.
(h) Certain statistical data displayed within the Product is sourced from the Lahman Baseball Database and other third-party sources. The Developer does not independently verify the accuracy of that third-party data and disclaims all liability for errors, omissions, or inaccuracies originating in third-party source data to the same extent set forth elsewhere in this Section 2.
3. Eligibility and Accounts
(a) The Product is intended only for individuals who are 18 years of age or older.
(b) By creating an account or using the Product, the User represents that the User is at least 18 years old and has the legal capacity to enter into these Terms.
(c) The User is responsible for maintaining the security of the User’s account and for activity occurring through the account.
(d) A User may not impersonate another person or entity or use a username that is unlawful, infringing, obscene, deceptive, abusive, or otherwise inappropriate.
(e) The Developer may require a User to change a username that violates these Terms.
4. Returns, Refunds, and Repairs
(a) The Developer will handle any returns, refunds, repairs, or other remedies required in accordance with applicable laws of New Hampshire.
5. Termination
(a) The Developer may immediately suspend, restrict, or terminate a User’s account or access to the Product, with or without prior notice, when the Developer determines that the User has violated these Terms, engaged in prohibited conduct, threatened the security or integrity of the Product, or otherwise misused the Service.
(b) The Developer may also terminate the Product or discontinue the Service.
(c) If the Product permanently ceases operation, these Terms will terminate except for provisions that by their nature survive termination.
(d) A registered User may voluntarily terminate the User’s account at any time through the account-deletion functionality made available through the Product.
(e) When a User voluntarily deletes an account, the Developer will process the User’s personal information in accordance with the Privacy Policy.
(f) If the Developer terminates an account because of suspected fraud, cheating, harassment, security violations, manipulation, abuse, or other prohibited conduct, the Developer may retain limited information reasonably necessary to document or investigate the conduct, protect the Product or other users, resolve disputes, establish or defend legal claims, prevent repeated abuse, or comply with applicable law.
(g) Provisions that by their nature should survive termination, including intellectual property, limitation of liability, indemnification, arbitration, and governing-law provisions, remain effective after termination.
6. Privacy and Acceptable Use
Privacy
(a) The Developer’s collection, use, retention, and disclosure of personal information are governed by the 162-0 Privacy Policy, which is incorporated into these Terms by reference.
Prohibited Conduct
(b) The User may not use the Product:
- for unlawful purposes;
- to harass, threaten, abuse, defame, or violate the rights of another person;
- to violate intellectual property or other proprietary rights;
- to distribute malicious software or computer code;
- to commit fraud or deception;
- to engage in unlawful gambling, sweepstakes, or similar prohibited activity;
- to promote violence, hatred, harassment, or unlawful discrimination;
- to unlawfully collect information about another person;
- to reverse engineer or attempt to reverse engineer protected software except where such restrictions are prohibited by applicable law;
- to gain unauthorized access to the Product, servers, systems, accounts, or networks;
- to circumvent security measures, rate limits, access restrictions, or other technical protections;
- to use bots, scripts, automated systems, or other tools to manipulate gameplay, scores, rankings, challenges, or leaderboards;
- to exploit bugs, errors, vulnerabilities, or unintended game behavior to obtain an unfair advantage;
- to use multiple accounts to circumvent restrictions, manipulate results, or obtain an unfair advantage;
- to falsify, alter, manipulate, or interfere with game results, scoring, achievements, statistics, or leaderboard information; or
- to interfere with another User’s ability to use the Product.
7. Product or Content Modification and Availability
(a) The Developer may modify, add, remove, update, suspend, or discontinue aspects of the Product or Content.
(b) This includes changes to features, player pools, statistical methodologies, scoring systems, simulations, achievements, game mechanics, interfaces, and other Product functionality.
(c) The Product may periodically be unavailable because of scheduled maintenance, updates, technical problems, third-party service interruptions, or other circumstances.
(d) Where reasonably practicable, the Developer may provide advance notice of planned or anticipated downtime. Advance notice is not guaranteed.
(e) The Developer may investigate suspicious or erroneous results and may correct scores, statistics, records, rankings, achievements, or other results affected by software bugs, data errors, manipulation, or other irregularities.
8. Indemnification
The User agrees, to the extent permitted by applicable law, to indemnify and hold harmless the Developer and its representatives from claims, liabilities, losses, or reasonable legal expenses arising from the User’s violation of these Terms, unlawful conduct, infringement of third-party rights, fraudulent activity, or misuse of the Product.
9. Arbitration
Any dispute arising out of or relating to these Terms, the Product, or the relationship between the User and VG Northern Technologies, LLC will be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its applicable consumer arbitration rules.
The arbitration will be conducted before one neutral arbitrator.
These Terms and the arbitration will be governed by applicable New Hampshire law.
The arbitrator’s decision will be final and binding on the Parties, subject to any rights provided by applicable law.
10. Assignability
The User may not assign or transfer these Terms or the User’s rights or obligations under them without the Developer’s prior written consent.
The Developer may assign or transfer these Terms, in whole or in part, including in connection with a merger, acquisition, reorganization, sale of assets, transfer to an affiliate, or similar transaction.
11. Notices
Notices from the Developer may be provided through the Product, by in-app notice, by email associated with the User’s account, or by another reasonable electronic method.
Notices from a User to the Developer may be sent using the contact information provided below.
12. Modification of Terms
The Developer may modify these Terms from time to time.
For material changes, the Developer will provide reasonable advance notice and require the User to affirmatively accept the revised Terms before continuing to use the Product. Acceptance may be obtained electronically, including by presenting the revised Terms and requiring the User to check a box or use another affirmative acceptance mechanism.
Non-material administrative, formatting, or corrective changes may become effective when posted or otherwise communicated.
13. Severability
If any provision of these Terms is found invalid or unenforceable by a court or other tribunal of competent jurisdiction, the remaining provisions will remain in full force and effect.
14. Governing Law
These Terms are governed by the laws of the State of New Hampshire, without regard to conflict-of-law principles.
15. Legal and Binding Agreement
These Terms constitute a legal and binding agreement between the Developer and the User.
By affirmatively accepting these Terms, the User acknowledges that the User has read, understood, and agreed to them.
